US Antitrust Approval Received for Tesaro
One down and two to go with the antitrust approvals for GlaxoSmithKline’s acquisition of Tesaro. US antitrust approval was received, which should not be a surprise. Now just waiting for the German and Australian antitrust approvals.
Form today’s SEC filing: “On December 31, 2018,
at 11:59 P.M., New York City time, the applicable waiting period under the HSR
Act expired. Accordingly, the portion of the conditions of the Offer relating
to the expiration or termination of the waiting period under the HSR Act in respect
of the Transactions has been satisfied.”

Glad they released, FTC twitter won’t update due to government shutdown. Stock is down 10c after hours. Hopefully AAPL Miss is naked in and stock rallies tomorrow
The Apple miss will certainly cause a market sell off at the open. May present a good opportunity in Tesaro.
LOXO: another safe play. Closes by march
LOXO: Yes, another relatively safe arb play. A good chance this can close at the end of February.
STZ a buy at these prices?
STZ: I bought some more today and have been adding during the recent declines. I take a long term view on STZ and believe that it’s investment on Canopy Growth will eventually pay off. I focus on the free cash flow, which continues to be healthy. They will probably get back to 3.5X leverage sooner than expected, which is important as this will allow them to perform buy backs and dividend increases.
TSRO: do they close today or next week?
We’ll know tomorrow morning. Need to know the status of the German and Austrian antitrust reviews. I would say probably next week...
Monday close
or may close on Tuesday since Monday is a holiday.
