Some ThermoFisher and ICU Medical

Not much happening, just waiting for some deals to close and potential deal announcements. I did pick up some ThermoFisher Scientific, Inc. (Ticker: TMO) last Friday at $85.44. I’ve been waiting for the opportune time to initiate a position and last Friday’s secondary offering was that time for me. A very well run company and the acquisition of Life Technologies will add nicely to earnings.

I also bought back a position in ICU Medical, Inc. (Ticker: ICUI) last Friday at an average price of $71.50. This deal appears to be progressing faster than I expected as Reuters mentioned that second round bids are due shortly with CareFusion (Ticker: CFN) and a PE firm eyeing the company.

re: ICUI I came across these comments on the yahoo message board. Very informative.

ICU has unique culture/systems and good lean (NVA reduction) processes. Although company only spends approx 1-2% of sales on R&D, the pipeline has been full of novel, unique devices (look at oncology products). Part of the "secret" of the organization is the mind of the CEO/founder Dr. Gearge Lopez. He developed oncology product specifications while his wife was dying of cancer.... unbelievable focus on this market. And a clever guy - this guy is a "Midas". Many other ICU company execs would be considered less-than-competent within Fortune 500 organizations (Dr Lopez is insulated with poorly educated "yes" people). If considering a buyout, you may want to retain the CEO ("Doc" Lopez) for the transitional period, and then make him CTO. Best wishes to all."

"Dr. Lopez had an (documented) objective of "$1Billion" market valuation for 5 years.... he did it ! Now I think he wants to retire (he's a serial entrepreneur - he'll do something else). He's the founder, has worked very hard (staying on the pulse of every project, every facility, sales/marketing, etc), and wants to leave as a winner (he already has plenty of cash - I think it's a psychological barrier that was crossed at $1B valuation). Again, one sharp dude... much respect. His health deteriorated a few years ago, potentially coincidental with his "free-breath" deep-sea diving record setting activities?"

ELN is officially up for sale and would be happy with a $16.00 cash offer. Who might be interested and would make a good fit? the Irish tax advantages might be attractive to some company like WCRX was.

MT,

ICUI news for what it is worth. The article is dated 06-13-13 so you would think there would have been a stock pop this morning. ICUI stock price had the opposite effect. I know this daily rag does not have the best reputation so I dont know how creditable any CFN $80 offer might be. I currently hold no positions here as the options open interest across months is very thin and has very wide bid / ask spreads.

What are your thoughts here?

I saw the news this morning on ICU Medical and decided to close out my position for now. I'm a bit skeptical about any bid for Elan. They really don't have any good assets.

The potential M&A opportunities never end. Do you have any opinion on ViroPharma as a company, its future pipeline, who the suitors could be and what acquirer might be the best fit?

I don't follow Viro Pharma, but I did take a quick look and their pipeline is in the early stages (phase 2 trials). Interesting to see that they are also developing a C. difficile drug similar to Optimer. This company is into the orphan drugs so some of the names that come to mind are Shire and Sanofi. Both of these companies have a strong presence in the orphan drug space. Still in the very early stages, definitely on keep an eye on.

In regards to ELN more news out today on reuters, Forest Labs interest. Maybe we are overlooking the Irish tax advantages? More important it looks like FRX will have a CEO change in the near future. This future event is like throwing chum in the water for potential suitors. It does not hurt the Carl Icahn holds a stake in FRX.

I read recently that Royal Pharma is a little known private company that is a drug patent troll but very successful.

I have been watching ELN since $11 per share. Too bad I missed out on all the stock price fun. What is it with some of these Irish pharma's?

I am losing patience with the OPTR sales process or is it really a sales process? Maybe OPTR is just going through the motions. What are you reading in the pharma blogs about OPTR and the sales process? Any insight would be welcome.

I have no news on Optimer. Very quiet, I would have expected some leaks by now. I'm willing to be a bit patient on this one...
